Tsubame BHB Featured as a Case Study in METI’s “Entrepreneur-Led Carve-Out Practice Guidebook”

On April 17, 2026, Japan’s Ministry of Economy, Trade and Industry (METI) published the “Entrepreneur-Led Carve-Out Practice Guidance Guidebook (Why Edition / How Edition). 

“Tsubame BHB Co., Ltd. — established in 2017 through a carve-out of Ajinomoto Co., Inc.’s small-scale distributed ammonia production technology development team, with investment from Universal Materials Incubator Co., Ltd. (UMI) — has been featured as a leading carve-out case study from a major corporation in this guidebook. Tsubame BHB is engaged in the development of compact plants for realizing Japan’s first onsite ammonia production system.

The guidebook was compiled by NEDO as a supplementary resource to the “Entrepreneur-Led Carve-Out Practice Guidance” published in April 2024, designed to support more practical application of that guidance.

The guidebook consists of two parts. Part 1: The “Why Edition” is aimed at corporate management and middle managers, explaining the significance of carve-outs and providing a business decision-making framework for building internal consensus. Part 2: The “How Edition” is intended for entrepreneurs (intrapreneurs) pursuing carve-outs, offering a systematic overview of practical challenges in areas such as intellectual property, capital policy, and human resources, along with approaches for navigating internal coordination.
